1、成套设备采购合同 EQUIPMENT PROCUREMENT CONTRACTEQUIPMENT PROCUREMENT CONTRACT 本合同于 2010 年 xx 月 xx 日由山西 XXXX 集团国际发展有限公司 (以下 简称买方)为一方，与 XXXXXXXX （以下简称卖方）为另一方签订。 This Contract made on between (hereinafter called the Buyer) of the one part, and XXXX（hereinafter called the Seller ）of the other part. 鉴于买方愿将名称为山西X
2、XXXXXXX 集团有限责任公司杜儿坪矿瓦斯发电 项目二期工程成套设备交由卖方实施，并已接受卖方递交的关于承担本合同 下的设计、供货、安装、测试及修补由卖方引起的任何缺陷的投标书。 Whereas the Buyer desire that the Works known as Gas Power Plant of Equipment Procurement forCoal Mine of should be executed by theSeller, and has accepted a Tender by the Seller for the design, procurement, t
3、est and the remedying of any defects therein. 买方和卖方达成如下协议： The Buyer and the Seller agree as follows: 1.下列文件应被视为本协议书的组成部分， 并应作为其一部分阅读和解释： The following documents shall be deemed to form and be read and construed as part of this Contract: a. 合同条件 The Contract Conditions ； b. 技术协议 Technical Specificat
4、ion ； c. 合同分项报价清单 The Schedule of Contract Price. 2.本合同的最终用户为山西XXXX 集团有限责任公司，卖方负责进口到中 目事宜。 The end-user of the Contract is. Seller is responsible for the part of the procured equipment that is imported to PRC, while Liyu will perform all domestic works under the Contract under its own responsibility
5、. 3.本合同价格包括进口设备的FOB 价格，该价格是固定的总价格，不会随 着合同履行期间内运输、劳动力、材料以及设备等的市场价格变化而进 行调整。 The Contract Price include the FOB cost of imported equipment which is a fixed lump sum price and will not be adjusted with the changes in market price of the transportation, labor, materials and equipment etc during the perf
6、ormance of the Contract. 4.卖方应按照如下进度要求，履行本合同下的所有工作，包括但不限于按 照以下规定进行设计、供货及保修服务。Seller shall perform all works under the Contract,includingbut not limiteddesign,procurementand warranty service in accordance with the schedule below: 交货时间 : 卖方按照 FOB 汉堡港价格条款将38 个进口分项工程中 的第一套设备交付。 Time of Delivery: Seller
7、shall deliver the first lot out of 38 imported Gensets FOB Hamburg. 交付时间为收到第一笔分 期付款后七个月。允许分批装运。seven month after receipt of first installment payment. Partial shipment is allowed 保修期：卖方将在委托之日起，提供24 个月的设备保修期，或货物 按照国际贸易术语（ 2000 年版）后的 30 个月，以先到的日期为准。 Warranty Period: Seller shall provide the warranty s
8、ervice for twenty four (24) months after the date of commissioning, or 30 months after the Goods are delivered according to Incoterms (Edition 2000), whichever period expires first. 5.对于双方已确定的技术方案和工作范围，如卖方有任何的调整与更改， 必须事先取得买方的认可和批准，由此而引起价格变化，将由卖方自行 承担，合同总价将不做改变或调整。 Seller must get Buyer s review and
9、approval in advance for any changes and adjustments of the confirmed technical plan and scope of works. Seller shall bear any price change resulting from above activities and the Contract Price shall not be changed and adjusted. 6.付款条件参见合同条件中的相关条款。Payment terms are referred to the provision in Contr
10、act Conditions. 7.本合同以中英文书写， 2 套正本，买卖双方各执一份，如有任何不一致之 处， 以英文为准。The Contract is made in both English and Chinese language in two (2) originals, one(1) original for buyer and one(1) originalfor seller.
