2、4R,本公司注册于新加坡,注册办公室位于淡马林荫大道7号,29楼04室,新达成第一大厦,新加坡038987(之后统称为“出租方”),安华(新加坡) 。公司注册号:2011087712,公司注册于新加坡,注册办公室位于淡马林荫大道34楼03室,新达成第三大厦,新加坡038988(之后统称为“承租方”)Whereby it is agreed as follows:1. The Landlord hereby grants and the Tenant hereby accepts a tenancy of all the premises(“the Premises”)more particul

3、arly described in Annex A herewith described as in a bare condition for a term of Twenty Four Months (two years) with an option to renew this agreement for an additional one year at a mutually agreed price based on prevailing market rental agreed in writing by both parties, commencing on 1st August,

4、 2011 (the “ Commencement Date”) subject to the terms and stipulations hereinafter contained and payment to the landlord of monthly rental which must be paid in advance on the first day of each month for the whole month or proportionately for any part of a month, the first of such payment to be made

5、 on or before the Agreement Signing Date as follows: 出租方准予并且承租方接受所有房屋租赁合同的有关条款,特别是附件A中描述的情况,承租方在24个月(2年)内,可以选择续租一年,租金基于当时的市场价格并由双方协商并书面确定,根据以下条款和规定,租赁起始于2011年8月1日(“起始日期”),房租于每月一号前以月租的形式交给出租方,不足一月需按相应比例缴纳租金,在协议签订之日或之前,第一次租金缴纳形式如下:() during the term of tenancy from 1st August, 2011 to 31st July 2013(b

6、oth dates inclusive), a monthly rental of Singapore Dollars Seven Thousand Two Hundred Only (S$ 7,200.00) which is exclusive of 7% GST and calculated at a rate of S$ 8.00 per square foot computed on the total floor area 900 sq.ft of the Premises.() 租赁期限,自2011年8月1日起至2013年7月31号止(这两个日期都包含在内),除去7%的消费税,月

The Tenant HEREBY COVENANTS with the Landlord as follows:(a) ()To pay the said monthly rental at the times and in the manner aforesaid without any deductions whatsoever. The first rental shall be paid to the Landlord on or before the signing of this agreement.2.

8、根据协议,承租方对出租方承诺如下:(a) () 每月按上述要求按时缴纳房租,不得有任何扣减。第一次租金应于签署协议之日或之前缴纳。()To pay the Landlord on or before the signing of this Agreement a Deposit of Singapore Dollars 14,400.00 (Fourteen Thousand & Four Hundred Only) by way of security for the due performance and observance by the Tenant of all the agreem

9、ents obligations undertakings and conditions on the part of the Tenant herein undertaken to be performed and observed. The said Deposit shall be retained by the Landlord throughout the term of the tenancy hereby created free of any interest to the tenant but subject as aforesaid, the landlord shall

10、be entitled to utilize the said deposit to set-off against the landlords claim for damages as a result of the tenants breach non-observance or non-performance of any of the said covenants agreements stipulations or conditions. If the landlords claim exceeds the said deposit the amount claimed shall

11、be a debt from the tenant to the landlord and shall be recoverable forthwith as such() 在签署协议之日或之前,承租方应缴纳(仅14,400.00新币),用以确保承租方在租赁期间能够遵守协议规定并能够履行其责任和义务。出租方在租赁期内应保留此押金,承租方不得收取任何利息,但如上述所说,出租方有权利用此押金来索取因承租方违反或不履行协议规定对房屋所造成的损坏。如出租方的索赔超过上述押金数额,超出数额则应视为承租方所欠债务,应立即予以缴纳。Provided that the said Deposit shall n

12、ot be made use of by the Tenant as payment of monthly rental or any amounts due and payable to the landlord under any circumstances. The landlord will refund the said Deposit or the balance thereof after any deduction made in accordance with this clause within thirty (30) days of the expiry or earli

13、er termination of this Agreement free of interest.在任何情况下,承租方不得以上述押金来抵月租或任何向出租方支付的费用。出租方在合同终止或提前终止合同后的30日内,应退还押金或按合同规定扣费后的余额。(b) To pay to Public Utilities Board, Singapore Telecoms and any other relevant authorities (except only where it is hereinafter expressly provided to the contrary) all rates a

14、nd charges (including all taxes added in their respective bills) in respect of supply of Water, Gas, Electricity and Telephone any other services or amenities to or at the Premises and to pay all deposits and hire charges in respect thereof.(b) 支付给公用事业委员会及其他相关机构(除非下文中有明确相反规定)所有市政服务费及收费(包括所有相关税费)如水费,

15、气费,电费, 费及其他房屋服务费和福利设施费用,并缴纳所有相关的保证金及雇用服务费。(c) To use the Premises as an office for the business of the Tenant shall not use the Premises or any part thereof for any other purpose without the prior written consent of the Landlord which consent will not be unreasonably withheld.(c) 承租方租用此房屋用于办公,在没有得到出

16、租方的书面许可下不得将此办公室或其中任何一部分用作其他用途,但这种许可出租方不得无理拒绝。(d) Not to adopt or utilize any unethical business practice or conduct any auction, fire, bankruptcy or closure sale on the Premises.(d) 办公室内不得进行不道德的商业活动及进行拍卖,军火交易,破产或停业。(e) To be responsible for keeping the Premises clean and in good tenantable and hygie

17、nic condition and keep all pipes drains basins sinks and water-closets in the Premises used by the Tenant its servants agents and invitees in good clean and tenantable repair and condition to the satisfaction of the Landlord and to take all necessary and precautionary measures at the Tenants expense

18、 for the prevention and extermination of pests, vermins, rodent and other crawling insects. To comply with all statutory provisions and all rules regulations and bylaws of all Public Health and other Governmental Authorities in respect of the sanitary arrangement hygiene health or cleanliness of the

19、 Premises.(e) 承租方办公室内需保持卫生,承租方及其雇用人员使用的卫生间脸盆及便桶需保持清洁干净,应做到令出租方满意。承租方应预先采取必要的措施来防止及根除害虫,害鸟,啮齿目动物及其他爬行类昆虫。应遵守所有涉及公共卫生及其他有关政府当局涉及清洁卫生的有关法定条款,及租屋的卫生规定。(f) Not to cause or otherwise permit any employee or agent of the tenant to cause any obstruction in the road-ways or the car park or otherwise use those

20、 areas allocated to the parking or movement of or access of vehicles or designated as load/unloading areas other than in accordance with the Landlords written permission or requirements which may from time to time be communicated to the Tenant in writing in respect of the parking of vehicles on the

21、said road-ways and the said car park.(f) 不得允许任何承租方的雇员及代理商造成道路或停车场的阻碍,此外,也不得违反与出租方所签署的书面同意协议或要求,将所分配的停车场或进入移动车辆的地方,装卸货的地方移作他用,这些有关道路及停车场的有关规定和要求可不时与承租方协商并书面确定。(g) To permit Landlords authorized representative(s) inside the premises, either for Inspection of the premises or maintenance or security pur

22、poses whatsoever, at all times.(g) 随时允许出租方授权的代理人进入租屋视察,维护或是为了安全目的。(h) To observe and conform to all the rules and regulations as may be imposed on the occupier of the Premises by any statute order rule or regulation now or hereafter (including regulations as to the opening and closing hours and days

23、 of the Premises) or as may from time to time be made by the Competent Authorities.(h) 承租方应遵守所有现在或将来可能实施的规则及条例(包括租用办公室的开关时间及日期)或由主管当局随时所做出的其他规章制度。(i) To carry out and comply with all acts regulations, bylaws and requirements of the Competent Authorities in connection with or relation to the Tenants

24、business carried on in the Premises.(i) 承租方应执行并遵守所有有关租用办公室的法令条例,次要法规及主管当局的要求规定。(j) To supply receptacles approved by the Landlord for holding trash and litter belonging to the Premises and have the same removed daily at the Tenants own expense and if for any reason the Landlord shall reasonably deem

25、 it desirable to arrange for the removal of such trash or litter and pursuant thereto carry out such removal to reimburse the Landlord for the cost of such removal.(j) 经出租方批准,办公室内可提供容器供装垃圾之用,每天清理垃圾,费用由承租方自理。如出租方合理认为需由其安排清理垃圾,承租方应支付出租方相关清理费用。(k) To pay all legal costs and all of the stamp duty incurr

26、ed in the preparation of this Agreement in duplicate and to pay for all legal fees (including the Landlords solicitors charges on a solicitor and client basis) and other costs and expenses incurred in connection with any claim or legal proceedings which may be brought by the Landlord against the Ten

27、ant in enforcing the terms of this Agreement in respect of any breach by the Tenant of the terms of this Agreement.(k) 承租方应支付准备此一式两份合同所引起的所有法律费用及印花税,支付所有法律费用(包括出租方的律师费用,基于律师与委托人的关系)及其它在执行此合同过程中,因承租方违反本合同,而由出租方通过法律程序获取索赔过程中所产生的费用。(l) To ensure that all exits be properly marked and illuminated and tha

28、t fire extinguishers and fire-fighting equipment be adequately installed and provided for in the Premises.(l) 承租方应保证在租用办公室内,所有出口都有合理的标记和照明,并提供灭火器和消防设备。(m) Not to place or permit to be placed upon any part of the Premises any load in excess of that stipulated by the Landlord or the Competent Authorit

29、ies.(m) 承租方不得在出租办公室内放置超过出租方或主管当局的规定或允许的物品。(n) Not to carry on or permit or suffer to be carried on upon any part of the Premises any offensive or dangerous trade business or occupation nor to permit or suffer the Premises to be used for any illegal or immoral purpose or so as to cause nuisance annoy

30、ance or inconvenience to the occupants of adjoining or neighboring premises nor bring or permit or suffer to be brought in or upon the Premises or any part thereof any goods which in the opinion of the Landlord is of a dangerous or hazardous nature.(n) 承租方不得在租用办公室内从事或允许从事任何具有攻击性的或危险的贸易活动或工作,此外,不可将租用

31、办公室用于任何不法或不道德活动,或对邻近办公室造成困扰和不便,不可将出租方认为具有危险性的任何货物带入屋内或置于房顶。(o) Subject to Clause 2(a)() of this Agreement not to make any alteration or change in the Premises nor to any of the interior partitioning, decoration, fixtures fittings, or the existing locks and bolts nor to install any additional locks t

32、o the Premises without the Landlords previous consent in writing which consent shall not be unreasonably withheld.(o) 根据本合同条款2(a)(),在获得出租方书面许可之前,不得对租用办公室做任何的改动,不可改变其内部分割,装潢,固定装置,或已有锁和门闩,也不可安装任何额外的门锁,当然这种书面许可出租方不可无理拒绝。(p) NOT TO KEEP OR PERMIT OR SUFFER TO BE KEPT any animals or pets inside the Premi

33、ses. (p) 在租用办公室内,不得饲养或允许饲养或被迫饲养任何动物或宠物。(q) Not to burn any incense or joss-sticks in, outside or around the Premises or to cause or permit any offensive or unusual odor to be produced upon permeate through or emanate from the Premises.(q) 不得在租用办公室内,室外及其周围烧香,也不得在屋内弥漫或传出任何令人不快或异常的气味。(r) Subject to cla

34、use 2(a)() of this Agreement, not to do or permit or suffer to be done any act or thing which may cause damage or injury of any kind to any part of the main structure or make any alteration to the exterior of the Premises.(r) 根据合同条款2(a)(),不得对租用办公室的外部结构做任何改动,不得从事任何可能有损租屋主要构造的行为或事情。(s) Not to install

35、or use in the Premises any plan apparatus machinery or equipment which requires any additional electrical main wiring or which consumes electricity not metered through the meters from which the tenants consumption of electricity is calculated.(s) 不得在租用办公室内安装或使用需要额外布线的任何仪器或设备,或是不能使用承租方电表来测量用电量的电器或设备。

36、t) Not to install or use the Premises any air-condition plant machinery or equipment without the prior written consent of the Landlord which consent shall not be unreasonably withheld and to keep al windows and doors closed while the air-conditioning system is in operation.(t) 承租方在获得出租方书面许可之前(这种书面许

37、可不得无理拒绝)不得安装或使用任何空调设备,开空调期间应关好门窗。(u) Not to prevent or obstruct the Landlord and all persons authorized by the Landlord at all reasonable times upon prior appointment to enter into and upon the Premises to view the state of repair and condition thereof, to carry out any repairs which are the respons

38、ibility of the Landlord hereunder, to take inventories and inspect the condition of the fixtures and fittings therein, to test the electric wiring, too read the meters and to do any other act or thing which may be required to be done by the Landlord in respect of the Premises. The Landlord and its r

39、epresentatives shall be entitled in the event of any emergency or if the Tenant shall fail to permit entrance pursuant hereto after reasonable notice to enter the Premises by opening or breaking any door window or other part of the exterior and the Tenant shall reimburse the Landlord the cost of rep

40、airing and marking good any damage thereby caused.(u) 在提前预约后,承租方不得阻止出租方或其授权的个人进入出租屋查看修缮情况及其状况。对出租办公室进行修缮,做详细记录,检查固定装置及配件,检测电线,读仪表以及其他应由出租方来完成的事情是出租方的责任和义务。一旦出现紧急事件或经合理通知后承租方不允许进入租屋,出租方及其代理人有权打开窗户或破窗而入,或打破其他外部设备进入,而由此所产生的任何维修费及损失由承租方承担。(v) On receipt of any notice from the Landlord or its authorized

41、representative specifying any works or repairs which are required to be done and which are the responsibility of the Tenant hereunder, within forty-eight (48) hours in cases of emergency and within seven (7) days (or such longer period as the Landlord shall consent to, such consent not to be unreaso

42、nably withheld) in all other cases to comply with such notice and carry out the said works or repairs with all possible dispatch and without any delay.(v) 在收到出租方或其代理人的任何通知后,承租方应根据通知要求立即开展相关工作或修缮工作,通知中将详述需要由承租方来完成的任务或修缮事宜,紧急情况需要48小时内完成,其他情况7天内完成(或出租方许可的更长时间内,这种许可不可无理拒绝)。(w) Not to permit the Premises

43、 or any part thereof to be used for the cooking or preparation of food (other than as a pantry for use within office premises) nor to reside in or permit any person to reside in any part of the Premises or use or permit or suffer the Premises or any part thereof to be used as sleeping quarters or do

44、mestic premises nor to allow any person to remain in the Premises overnight but to keep the Premises securely fastened and locked at all times when the Premises is unattended.(w) 不允许把租用办公室或其任何一部分用来做饭或准备做饭之用(除作为食品餐具储藏室外)不得留宿或允许任何人留宿在办公室内,或把办公室的一部分改做卧室或家用房间,也不允许任何人在关门关窗,无人注意的情况下在室内过夜。(x) Not to use th

45、e Premises or any part thereof for the storage of goods or merchandise other than for the purposes of sale on the Premises nor keep or store or cause or permit to be kept or stored any goods of a specially combustible, inflammable or dangerous nature (alcoholic beverages, wines spirits and the like

46、which are stored on the Premises to be used in connection with the Tenants business on the Premises excepted).(x) 承租方不得在办公室内任何地方储存货物或商品,除非在办公室用作销售之用的商品除外,不得储存任何易燃易爆物或危险商品(有关承租人做生意之用的酒精饮料,葡萄酒等除外)。(y) Not to do or permit or suffer to be done any act or thing which may be or become a nuisance or annoya

47、nce to the Landlord or to the other licensees tenants or occupiers of adjoining or neighboring premises or to persons visiting the other licensees tenants or occupiers of adjoining or neighboring premises.(y) 任何有可能打扰房东,或其他持有执照承租方,或其他邻近承租方,或拜访其他承租方的行为都应避免。(z) Not to occupy clutter enclose or obstruct

48、 all or any part of the entrances staircase corridors or walkways of the Premises.(z) 不得圈占地方及阻碍入口处楼梯走廊或办公室通道的畅通。(aa) Not to tout or permit the Tenants servants or agents to tout or to use freelance touts in connection with the business carried on in the Premises.(aa) 不得在办公室内招揽生意或由承租方雇员或其代理人或使用自由职业者在办公室内从事有关招揽生意活动。(bb) Not to do or permit or suffer to be done an
