2、uestofAAA,andasinitiallyorganizediscomprisedofthefollowingcompanies:B BB,IncCCC,DDD,Inc,EEECompany,FFF,LLC,GGG,PacificAssetManagement;andWHEREAS,theCommitteehasadvisedAAAthatithasretainedtheservicesofHHHLLPTB&F asitscounsel;andWHEREAS,AAAisdesirousofenteringintoanoutofcourtcomposition,extensionoroth
3、eracceptableagreementprovidingforthetreatmentofitsoutstandingclaimsthe CompositionAgreement andfurther,AAAhasagreedtoallowtheCommitteeareasonableperiodoftimetoconductsuchduediligenceasitmayrequiretodeterminethefeasibilityandadvisabilityofenteringintosuchaCompositionAgreementthe StandstillPeriod ,and
4、WHEREAS,otherthanasprovidedinparagraph2ofthisAgreement,AAAhasagreedthatdur ingtheStandstillPerioditshallmakenopayments,transfersorreturnsofmerchandiseonacco untofanyitsdebtsorobligationstoanyonethataroseoraccruedpriortothedateofthisAgreem ent,withoutthewrittenconsentoftheCommitteeNOWTHEREFORE,forval
5、uableconsideration,includingtheforbearanceofeachCommitteemember,thepartiesherebyagreeasfollows:1ThisAgreementshallremainineffectandshallterminateontheearlierof:a5:00pmPacificTimeon,M/D/Y;btheCommitteeandAAAagree,inawritingexecutedinthesamemannerasthisAgreement,tomodify,replaceorterminatethisAgreemen
6、t;cAAAdefaultsunderorotherwi seviolatesthetermsofthisAgreementandtheCommitteeterminatesthisAgreementoranord erforreliefundertheBankruptcyCodeisenteredagainstAAAoranassignmentforthebenefitofcreditorsisexecutedbyAAAcollectively,the TerminationDate2DuringtheStandstillPeriod,AAAshallmakenopayments,trans
7、fersorreturnsofmerchandiseonaccountofanyofitspastduedebtsasofthedateofthisAgreementincluding,butnotlimitedto,goodsormerchandisethatwereshippedordeliveredpriortothedateofthisAgreement;PROVIDEDHOWEVER,duringtheStandstillPeriod,AAAshallusefundstomaintainitsexi stingoperationssubstantiallyinaccordancewi
8、thabudgettobeagreedupon3DuringtheStandstillperiod,AAAshallconductitsbusinessintheordinarycourseandshalltakenoaction,withoutthepriorwrittenconsentoftheCommitteeandsellorotherwisetransferi tsassets,includinginventory,viabulksalesorotherwise,outsideoftheordinarycourseofitsb usiness4Subjecttotheseparate
9、letteragreement,AAAwillpaythereasonablefeesandexpensesincurredbytheCommittee sprofessionalsduringtheperiodbetweentheCommitteeOrganizationDateandtheTerminationDateContemporaneouslywiththeexecutionofthisAgreement,AAAwillwiretransfer$,toTB&FAttheconclusionoftheStandstillPeriod,TB&FshallprovideAAA,andit
10、scounsel,withabillingstatementsettingforththeidentityofeachTB&FprofessionalwhohasperformedservicesforandonbehalfoftheCommittee,theratechargedbyeachsuc hprofessional,andtheaggregatetimespentbyeachfortheserviceprovidedTB&Facknowle dgesthatduringtheStandstillPeriodnolegalservicesshallbeprovidedforanyin
11、dividualCo mmitteeMemberoronbehalfofanyotherentityotherthantheCommitteeinconnectionwith AAAand/orthisAgreementTB&FwillalsoforwardcopiesoftheexpensesincurredbytheCo mmitteemember5DuringtheStandstillPeriod,andsolongasAAAhascompliedwithallofitsobligationsunde rtheStandstillAgreement,themembersoftheComm
12、itteewillaforebearfromexercisingsuc hrightsastheymayhaveagainstAAAforpaymentorcollectionofsumsthatmaybeduetothem ,andbeitherjointlyorindividually,forebearfromparticipatinginthefilingofaninvoluntaryb ankruptcyproceedingorstatecourtreceivershipagainstAAASuchforbearanceisnotawaive rofanyportionofthecla
13、imsofanyCommitteemember6ThisAgreementdoesnotcreateajointventureorcreateapartnershipbetweentheparties7ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubje ctmatterhereofAllprioragreementsandunderstandingsaremergedhereinandtherearenoor alunderstandingsapartformthetermsofthi
14、sAgreementThisAgreementmaybealtered,ame ndedormodifiedonlybyawritteninstrumentsignedbyallpartiestothisAgreement8ThisAgreementandanyissuesarisinghereunderwillbegovernedbythelawsoftheStateofC alifornia9ThisAgreementmaybeexecutedinoneormorecounterparts,includingfacsimiletransmitt als,eachofwhichshallbe
