3、Information andthepartieswishtoensurethattheinformationwhic hmaybedisclosedtoeachotheristreatedinstrictestconfidenceB?EachofthepartiesdesirestoreceivesuchConfidentialInformationfromtheotherfortheli mitedpurposeofevaluatingthesuitabilityofenteringintoabusinessrelationshiporsponsors hipofresearch,ande
4、achpartyrecognizestheimportanceofsafeguardingsuchConfidentialI nformationagainstunauthorizeduseordisclosureNow,therefore,inconsiderationofthedisclosuresmadehereunder,andcovenantsenteredintoherewith,CompanyandFoundationagreeasfollows?CompanyandFoundationarewillingtodisclosesuchinformationtoeachotheru
5、nderthefollo wingconditions:1?Eachparty sConfidentialInformationshallbesuppliedtotheotherpartyinwritten,graphic,photographic,recorded,prototype,sample,orinanyothertangibleformandshallbeidentifiedasbeingdisclosedunderthisAgreement?AnyConfidentialInformationwhichisdisclosedinoralformshallbeidentifieda
6、ssuchatthetimeofdisclosureandconfirmedinwrittensummaryformwithinthirty30daysafteritsdisclosuretothereceivingparty2?AsusedinthisAgreement, ConfidentialInformation shallmeanalldata,samples,technicalandeconomicinformation,commercialization,clinicalandresearchstrategies,tradesecre tsandknow-howdisclosed
7、orprovidedbyonepartytotheotherinaccordancewithParagraph 1,exceptsuchinformationwhichacanbeshownbythereceivingpartytohavebeeninitsposse ssionpriortodisclosuretoitbytheotherparty;batthetimeofdisclosurehereunderis,orthereaf ter,becomes,throughnofaultofthereceivingparty,partofthepublicdomainbypublicatio
8、nor otherwise;cisfurnishedtothereceivingpartybyathirdpartyafterthetimeofdisclosurehereu nderasamatterofrightandwithoutrestrictiononitsdisclosure;disindependentlydevelopedb yemployeesoragentsofthereceivingpartywhohavenothadaccess,directorindirect,totheC onfidentialInformationreceivedfromtheother;eisf

12、anycopiesinwholeorinpartofConfidentialInformationoranalyzesamplesoftangiblematerialsincludedtherein,whicharenotavailableontheopenmarketorfromothersources,foranypurposesotherthanthepurposessetforthinParagraph3,andwill,uponrequestbythedisclosingparty,returnalltangiblematerialsfurnishedhereunderandanyn
