WITHOUT ANY PENALTY TO BUYER 买方不须负担任何罚款： Seller then to offer another cargo that plies with contract terms, time being of the essence o r the Buyer has the right to cancel the contract, a nd in that event under clauses in Sections 15 the Seller shall pay all the penalty

11、presentative present at the Draft Survey, a nd any difference of opinion is to be settled by the MASTER of the Charter Vessel, whose decision shall be final. 买方有权以自费方式指派代表人参与船身吃水鉴定，且船公司 得接受其意见，并共同决定鉴定结果。 Buyer shall be entitled to have DRAFT SURVEY conducted by SGS o r another independent internatio
12、nal inspection agency at the Discharge Port, at its own expense. 买方亦有权以自费方式，由 SGS (PT.SUCOFINDO)或其它国家检 验公证机构于卸货港实施船身吃水鉴定。 第 14 页 18.CHEMICAL ANALYSIS 化学成分分析： The chemical position of the cargo shall be determined by an independent international Agency at Load Port, Seller cost. 货物之化学组成成份分析，须由独立的国际公证
13、检验机构在装 货港检验证明，所需费用由卖方负担。 19. MOISTURE CONTENT 水分含量： The moisture content shall be determined by obtaining the moisture loss at 105 degrees centigrade. If the moisture loss exceeds 8 % SELLER shall adjust the Final Weight obtained from Draft Survey by the excess moisture content so found, a nd Invoic
14、e only the resulting Net Weight. 水份含量是以摄氏 105下水气逸失后所测得知湿度值 8%基准， 若所测之知湿度值超过 8%时，卖方必须按照船身吃水鉴定报告 来调整出最后实际重量，发票仅依净重。 20. SAMPLING a nd ANALYSIS 抽样及分析： All sampling a nd analysis relevant to the contract terms shall be conducted at Load Port. 依照合约内容所进行的采样及分析工作应于装货港口实施之。 Supposing the cargo gets any disc
15、repancy between the inspection at discharge port a nd the SGS 第 15 页 (PT.SUCOFINDO)/CIQ(according to the agreement). The ending result by CIQ for this contract. 若买方在卸货港检验时与卖方的 SGS (PT.SUCOFINDO)/CIQ 证明 (符合合约规范)有所差异时，以 CIQ 检验为最终检验标准结果。 21.TITLE TO CARGO 货物所有权： The title with respect to the shipment s
16、hall pass from the Seller to the Buyer when the Seller receives reimbursement of the proceeds from the Opening Bank through the negotiating Bank against the relative shipping documents as forth herein. The Seller shall have full right a nd title to dispose of the cargo in any manner that he should t
17、hink fit, if the payment is delayed o r any unreasonable objection is raised by the opening o r negotiating Bank. 卖方于检附海运提单及相关文件经由押汇行向开状银行取得应 收的押汇款后，货物所有权同时归买方所拥有。若开状银行或 第 16 页 押汇行以不合理之异议作为拒付或者有延迟付款情形产生时， 卖方有完全的权利以其单方所认定的合适方法对货物做任何的 处理。 22. INSPECTION 检测: Draft Survey weight at loading port certifie
18、d by SGS (PT.SUCOFINDO) at the loading port shall be final subject to 0.5% franchise against B/L weight. In case, there is a difference in weight pared to B/L weight exceeding 0.5%, Buyer o r Seller will pensate the amount in excess o r shortage (including 0.5%). Seller may appoint a surveyor at dis
19、charging port at the Sellers expense. Inspection certificates issued by CIQ at the discharging port shall be deemed as final. All pensation amounts in excess o r shortage between the Buyer a nd the Seller will be paid within 7 (seven) banking days. 在装运港由 SGS(PT.SUCOFINDO)检测的重量与提单重量相差 0.5%以 内应为最终结算标准。如果与提单所示重量相差超过 0.5%，买 方或卖方应补偿超出或短缺部分（包括 0.5%） 。 卖方可以自费指定卸货港检测员。在卸货港由 CIQ 颁发的检测 证书应为最终结果。 买卖双方之间对超出或短缺部分的差额之补偿应在 7 个银行工 第 17 页 作日内付清。
