6、机构财务信息披露违规违法行为的法律责任。因此目前及以后财务信息披露监管中重点急需解决的问题之一是，对于上市公司及其管理当局设定法律责任体系应当逐步考虑让其承受民事责任，并对中介机构违法行为的加大行政责任的追究力度。关键词：财务信息披露；法律责任的设定；行政责任1前言1.1上市公司财务信息的披露法律责任的设定上市公司是采取股份制形式设定的，它是股份有限公司的一种，这种公司到证券交易所上市交易，必须经过相关部门的批准，此外还必须符合一定的标准和要求。上市公司的信息披露关系到股东的切身权益、合理透明的信息披露对上市公司的健康发展，对促进股市稳定，健康等方面有着极为重要的意义 , 其中又以上市公司财务
7、信息披露最为重要1。而对上市公司财务信息披露设定严格的法律责任能对上市公司及其管理当局和中介机构，取到一定的约束震慑作用。此外对规范证券市场也是意义重大。1.2上市公司财务信息的披露法律责任的设定现状通过对几个（证券法、公司法、股票发行与交易管理暂行条例（以下简称条例）、会计法、注册会计师法和刑法等相关法律）法律法规的研究，可以得知上市公司财务信息披露的涉及的法律责任主体主要包括上市公司及其管理部门（董事、监事、经理等直接责任人员）和会计事务所之类的中介机构。从当前我国对上市公司财务信息披露相关法律责任的设定看，约束这些主体的责任体系中都包括行政责任、刑事责任和民事责任2。然而，在这个体系之中
8、，是以行政责任为主体的，刑事责任和民事责任只是起辅助作用的，并且民事责任的规定是最为薄弱的。对违法行为以惩罚为主，但是对投资者的赔偿没有重视。在查处信息披露违法违规案件时，也主要以行政处罚为主，并且所谓处罚力度的加大，也重在加大责任人的刑事处罚。在财产责任方面，往往只是没收非法财产，而没有对投资者的民事赔偿。很显然，对上市公司及其管理当局来讲，这种以行政责任为主体的责任体系很难起到有效的惩罚和威慑作用，因为他们不用对投资者负责。再来看看中介机构，对于它们而言，这种以行政责任为主体的责任体系，还算是比较合理。因为中介机构要面对的行政罚款达到它们非法所得的15倍，而上市公司被处以的罚款可能只有非法
9、所得的十分之一，甚至几百分之一，也就是说，对中介机构的罚款要比上市公司重得多；同时，刑事责任的处罚对中介机构也比对上市公司管理当局的处罚要严重，最高可判刑10年，而上市公司管理当局的判刑最高只是5年。基于当前中介机构的实际经济承受能力，与上市公司及其管理当局同等情况相比，这样的行政，刑事责任已经具有较大的威慑力了。但目前我国中介机构法律责任的表现在处罚执行不到位。因此，很多会计事务所为上市公司出具虚假的审计报告、资产评估报告，做假账等现象仍层出不穷，但对许多做假的中介机构并没有完全按照相关的法律法规进行严格处理。2上市公司的财务信息披露法律责任的设定存在的问题2.1以行政责任为主体的责任体系难
10、以起到有效的惩罚和威慑作用 由上述分析可知，以行政处罚，行政责任为核心的责任体系，对上市公司是难以取到很好的惩罚和震慑作用的。这表现在，第一，上市公司及管理当局没有做到权利与义务的统一，使用投资人的资金，但是却不对投资人负责，或是执行董事义务多于权利，因此目前存在的问题是董事承担的义务和责任与其享有的权利不甚对称。在法律规定上，董事的义务和责任比较明晰，而董事的权利则较为模糊。实践中，董事义务较多，而权利较少，常被追究责任，却较少享有权利，特别是有些董事未得到公司给予的多少报酬，但承担了很大的责任，这也使得一些董事不服受到的处罚3。因而，有效的惩罚和威慑重要就无法凸显。第二，关于法人董事的责任
11、。虽然法人董事有可能要遭受行政，甚至刑事处罚。但由于不是自然人，法人董事可以不承担任何董事责任。这种责任分配上的严重失衡，甚至缺失需要通过未来的立法加以解决，明确地承认和肯定法人董事的法律责任，可以参照国外法律做法，规定法人董事应与其代表人一样的承担与其他董事相同的法律义务和责任，这将对约束,遏制控股股东的过度行为，不当行为和有效地追究董事的责任起到重要的作用。 2.2对中介机构法律责任的追究力度不够，执法不严同样从上述可得，就中介机构而言，上市公司财务信息披露法律责任的设定中的主要问题是，法律责任的追究力度不够，执法不严。这就是中国法制中的典型的有法不依，有法难施的问题，很多人都会怀疑上市公
12、司财务信息的可信性，因为现在很多会计事务所，审计机构变成了上市公司作假的帮凶。湖北立华会计师事务所，以出具虚假报告而闻名全国。湖北立华这样的恶性案件，最终只处罚了5名注册会计师，另外几名直接责任人员均相安无事。“立华”的名号虽然被注销，但很快变一下脸，就成为北京中审会计师事务所的分所，所长居然是原来的立华负责人（孙亚菲，2001）。可见相关部门对中介机构的监管，追究力度远远不够的。3上市公司的财务信息披露法律责任的设定存在问题的分析3.1以行政责任为主体的责任体系难以起到有效的惩罚和威慑作用 凡问题要治根本，针对上市公司财务信息披露过程中的作假违规违法行为的处罚目前主要是行政处罚。而行政处罚的
13、形式主要是罚款和警告。大量事实表明，为什么严令禁止之下，这些主体依然我行我素呢？这背后的驱使力量就是经济利益。相比行政处罚，它得到的利益可能是上千倍，上万倍，在财务信息上作假现在完全是一种“理性”的决策4。以上市公司为例，精心造假的招股说明书，伪造的假合同，修改的财务报告，报喜不报忧的公告，借会计师事务所之手作假，这不一而足的造假行为不是简简单单的犯规，而是经过事先周密的计划实施的。所以，违规之后只是有限的行政处罚，对当前会计信息披露最主要的违法主体中介机构和上市公司及其管理当局而言，惩罚和威慑对他们来说是远远起不到作用的。另外，就罚款而言，证监会对恶性会计信息披露违法的最高额处罚也只是60万
14、，这些罚款与上市公司及其管理当局所获取的上千万，上亿的非法利益相比，微不足道。3.2中介机构法律责任的追究的力度不够，执法不严据我国法律规定，中介机构的法律责任体系包括行政责任、刑事责任、民事责任。尽管相比之下，中介机构无论在行政责任中的行政处罚，在罚款上，还是在刑事处罚上正如上面所说要比对上市及其管理当局严厉得多，相对于中介机构的非法获益和目前中介机构的实际经济承受能力，与上市公司及其管理当局相比，这样的行政责任和刑事责任已经具有相当的威慑力了。但是目前的情况是尽管在法律上要求更加严格，但是很多会计事务所依旧以做假账为能事，而这也是很多人都心知肚明的事，中国目前的情况就是有法难依，有法不依，
15、执法不严。相关部门对许多做假的中介机构并没有完全按照上述规定进行处理，负责处理事件的责任人员敷衍了事，恶性事件因此屡见不鲜。因此怎样有效的加强对中介机构的法律责任的追究力度，有效的做到执法的严格，才能真正有效的减少中介机构的作假行为。4.完善上市公司财务信息披露法律责任的设定的建议4.1完善以行政责任为主体的责任体系，加大民事责任的权重行政责任是指经济法主体违反经济法律法规依法应承担的行政法律后果，包括行政处罚和行政处分。行政责任是指因为违反政法或因行政法规定而应承担的法律责任，行政法律规范要求国家行政机关及其公务人员在行政活动中履行和承担的义务。要解决中介机构和上市公司及其管理当局的诸多违法
16、行为，唯一标本兼治的办法就是加强和完善立法。国外的中介业务之所以发达，就在于其具备完善规范的法律法规体系。鉴于上市公司财务信息的披露作假的问题，应对方案是要在原有的行政，刑事责任的基础上，进一步加大惩罚和惩戒力度，让上市公司所接受的义务和权利相匹配，同时深入追究上市公司及其管理当局的民事责任，要求其对投资人的损失进行相应的补偿5。让上市公司和管理当局觉得犯法的机会成本大于作假的利益，自然能够很好的取到减少相关的违法犯罪行为。4.2完善中介机构法律责任的追究的力度结合我国上市公司中介市场的实际情况，建议立法应确立以下几方面的内容。第一，严格加强市场准入制度。当前我国中介机构资质及职业人员资格管理
17、制度尽管得以实施，但是由于条件制定的过于宽松，制度执行把关不严，导致很多素质低下的人员都进入中介机构。因此，对从业人员制定严格的准入标准十分重要6。第二，制定明确的法律条文，严格清晰的责任条款，加大惩处力度，有效的威慑，减少中介的违法犯罪行为。第三，对中介机构采用过错责任原则，专业人士，专业 判断，过错责任合理科学的处理。 另外，中介机构虚假披露财务信息，披露非法，虚假财务信息，致使信息使用者经济损失的行为必须予以打击。情节严重的，应果断给予刑事处罚，以起到威慑作用7。5结论 论文简述了上市公司的财务信息披露法律责任的设定的现状，对上市公司财务信息披露法律责任的设定存在的问题及原因进行了浅析。
