The main differences are as follow: 1. 定义 Definition: 外国常驻代表处 (如下简称 “ 代表处 ” : 是指外国的公司、机构 ,根据中国的规例在中国设立的联络机构。其日常的运 作必须遵守中国的法例 ,包括注册登记规例、税例、劳工法例以及其他相关的 监 管规例。 代表处仅为办事处登记 ,不为企业法人 ,也非有限公司 ,其所有的民事责任由 派出的外国公司 (即总机构承担 ;代表处并非一个独立、完整的营业机构,只 是总机构派驻中国的一个协助、联络或对中国贸易提供支援性的联络机构。 Representativ
3、e Office (RO: is an office of a foreign enterprise set up in China for liaison with Chinese businesses and customers on behalf of its parent company. Its day-to-day operation must comply with the relevant Chinese Statutes, including the regulations about registration, tax, employment and other relev
4、ant regulations. A RO is not considered to be a separate legal entity, the foreign enterprise should bear its R O s civil liability. A RO acts as a business liaison between the parent company and local companies which is entitled to conduct non-profit-making activities to assist, . 外商投资企业 : 是外国企业和其他

6、不能签 署商业合同、发出订单、签发发票、收取业务款项、持有存货、收发货物等行 为;而代表处只能是配合总机构(即外国公司从事中国市场的信息收集、联 络、市场推广等非营业性的商业活动。 RO: RO in China cannot carry out direct business activities, i.e.it may not conduct the activities such as sign business contracts, place an order, invoice for sales or services, and hold inventories etc. Howe
7、ver, RO only can coordinate the foreign company to collect the information, doing market research, promoting products in China and other non-profit-making activities. 外商投资企业 :由国务院主管部委不定期编制并公布的“ 外商投资指导目录 ” 作出规限 , 凡鼓励、 允许的项目 , 外商均可以作出投资和经营, 凡禁止的项目 , 一律不准外商设立 , 部分项目仅允许以合资或合作的方式经营。详细参见 “ 外 商投资产业指导目录 ” 。
