Party B shall finish the manufacturing of Standard Magnetic Compass GLC-1 and effect shipment within

8、 the date both parties agree on, excluding the occurrence of uncontrollable or unforeseeable events; 7零件及原料的损耗率： 加工时零件及原料损耗率为_，其损耗率由甲方 免费供应，如损耗率超过_ ，应由乙方补充加工所需 之零件和原料 ; 7. Attrition Rate of Parts and Materials Attrition rate of parts and materials in processing is _% and shall be provided by Party A

9、 for free. In case attrition rate exceeds _%, Party B shall supplement the additional parts and materials required for processing; 8若甲方误运原料及零件，或因大意而将原料及零 件超运，乙方应将超运部分退回，其费用由甲方承担，若遇 有短缺，应由甲方补充； 8. In case the shipment of parts and materials by Party A is wrong or in excess, Party B shall return the e

10、xcessive portion at Party As expenses. In case of short shipment, Party A shall make up the shortage; 9 甲方提供加工GLC 1 型标准磁罗经的零件及原料， 乙方应严格按规定的设计加工，不得变更； 9. Parts and materials provided by Party A for Standard Magnetic Compasses GLC-1 shall be manufactured by Party B in strict accordance with design wit

11、hout modific ation; 10技术服务：甲方同意乙方随时提出派遣技术人员 到_的要求，协助培训乙方的技术人员，并允许 所派技术人员留在乙方检验成品。为此，乙方同意支付每人 日薪 _美元，其他一切费 用（包括来回旅费）概由甲方负责： 10. Other Terms and Conditions: (1) Party A shall provide the trademark of Standard Magnetic Compasses and shall be held fully responsible for legal disputes if any; (2) The quality of parts and materials purchased by Party B in _ or _ fo

15、r processing Standard Magnetic Compasses, if necessary, shall be in conformity with the standard and approved by Party A in advance; (3) For promotion of export, Party B shall prepare and store samples of Standard Magnetic Compasses and send them to foreign purchasers appointed by Party A. 20、CT FOR SINO-FOREIGN COOPERATIVE JOINT VENTURE Chapter 17 Liability for Breach of Contract Article 42 Should the cooperative venture company be unable to continue itsoperation or achieve its business purpose due to the fact that one of thecontracting parties fails to fulfil the obligations prescribed

21、 by thecontract and articles of association, or seriously violates the provisionsof the contract and articles of association, that party shall be deemed tohave unilaterally terminated the contract. The other party shall have theright to terminate the contract in accordance with the provisions of the

22、contract after approval by the original examination and approvalauthority, and to claim damages. In case Party A and Party B of thecooperative venture company agree to continue the operation, the party whofails to fulfil its obligations shall be liable for the economic lossescaused thereby to the jo

23、int venture company. Article 43 Should either Party A or Party B fail to provide on schedule thecontributions in accordance with the provisions defined in Chapter 5 ofthis contract, the party in breach shall pay to the other party_Yuan, or _% of the contribution starting from the firstmonth after ex

38、 must complete the manufacturing of all Standard Mag-netic Compasses of type GLC-1 and effect shipment within theagreed date without delay except in the occurrence of uncon-trollable and unforceeable events ; 7. The damage rate of parts and materials:The damage rate of parts and materials in process

39、ing is _% and such a damage rate of parts and materialsshall be supplied free by Party A, should the damage rate ex-ceed _ % , Party B shall supply additional materialsand necessary parts; 8. Should shipment of materials and parts sent by Party A bewrong or in excess, Party B shall return the excess

All parts and materials supplied by Party A for Standard Mag-netic Compasses shall be processed by Party B strictly in ac-cordance with the design without any modification; 10. Technical Service:Pa
