17、thetransactionscontemplatedinthiscontractandjointhelitigation.theborrowerhasthepowertohandleitassetsusedinoperation. 2.theborrowerisatitsoptiontosignandperformthiscontract.itistheborrowerstruemeaningandhasthepowertosignthiscontractanditisnotbreachitarticleofassociationorregulationsorcontracts.thepro
18、cedureforsignatureandperformanceofthiscontracthasbeengonethroughandfullyeffectiveness. 3.thealldocuments，materials，reportsandcertificatesprovidedtothelenderbytheborrowerforconsummationofthiscontractistrue，real，competeandeffective 4.theborrowershallnotconcealthefollowingeventswhichisbeinghappenedorha
19、vebeenhappenedwhichwillcausethelenderrefusetoextendtheloan： （1）theborrowerortheprincipalexecutivesoftheborrowerinvolveinmaterialeventswhichbreachregulations，lawsorcompensationtoothers； （2）pendingactionsandarbitration； （3）theborrowersdebtsorproposeddebtsorliensandotherencumbrances； （4）theothermatters
20、willimpactthefinancialstatusorabilitiesofrepaymentforthedebts； （5）theborrowerbreachedcontractwhichisbetweentheborrowerandothercreditors. ii.theborrowerherebywarrantsasfollows： 1.usingthecapitaloftheloanasusagesetforthinthiscontract，theborrowerwillnotusetheloanasequityinvestment；theborrowerwillnotuse
21、thecapitaloftheloaninvestinsecurity，future，realestateetc.theborrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountry.theborrowerwillnotmisusingorappropriationoftheloan. 2.makingpaymentandrelatedexpensesinaccordancewiththeprovisionssetforthinthiscontract； 3.providing
22、updatedfinancialstatementorfinancialbulletineveryquarter；providingtheauditedfinancialreportatthefirstquartofeachyear；providingoperationreport，financialreportorotherfilesandmaterialsandshallwarrantthereality，correctandeffectivenessforthefilesandmaterials； 4.anyanti-guarantyorothersimilardocumentswill
23、notmakeanyimpactontherightsandbenefitsofthelenders； 5.acceptingthesupervisionofthelender，providesassistanceandcooperationforthelenderssupervisions； 6.willnotreducetheregistrationcapital；priorapprovalfromthelendershallberequiredwhentheborrowerchangesofshareholdersandoperationmanner（includingbutnotlim
24、itedtojointventure，cooperation，jointlycooperation；dissolution，closedown，liquidation，transformation；merger；changetosharecompany，usethehousing，machineryorotherrealassetsortrademark，intellectualproperty，knowhow，landingusingrightsorotherintangibleassetstoinvestinsharecompanyorinvestmentcompany，tradingof
25、operationrightorownrightbycontracting，jointoperation，trusteeship） 7.theborrowershallinformthelenderandwarrantstheliabilityunderitssecuritywillnotmorethannetassetsoftheborrowerwhentheborrowerguaranteeforotherpartyormortgageitsassets.theborrowerwarrantsthatwillnotdisposetheassetswhichwillmakeadverseim
26、pactonitsabilityofpayingdebts. 8.theborrowerwillnotpaytheothersimilarloanspriortothelender； 9.theborrowerwarrantstoinformthelenderimmediatelywhenthefollowingeventsoccurred： （1）theeventofbreachofcontractunderthiscontractorotherloanorguarantycontractsbetweentheborrowerandanybranchesofbankofchinaorothe

29、veeventhoughanymendment，supplementsorrevisedtobemadetothiscontract. article12representationsandwarrantsofthelender i.thelenderrepresentsandwarrantsasfollows： 1.thelenderisastate-ownedcommercialbankorbranchdulyorganizedandvalidlyexistingunderthelawofp.r.candapprovedbytheindustryandcommercialadministr
30、ationandholdsthefinancialinstitutionslegalpersonlicensesandfinancialinstitutionsoperationlicensetobequalifiedtooperatefinancialbusiness. 2.thelenderhastakenallnecessaryactiontoauthorizetheexecutionofthiscontractandperformanceofitsobligationsunderthiscontract.thelenderisdulyauthorizedtoextendthisloan

34、slydeterioratingorotherreasonscausedtheguarantorthecapacityofcreditdecline. （6）theborrowerbreachestheotherobligationsunderthiscontract. 2.undertheabovecircumstances，thelendershallhaverightto： （1）requesttheborrowertorectifywithintheperioddesignedbythelender； （2）ceaseinextendingtheloanorcancelthecredi

37、rrowershallhaverightto： （1）requestthelendertorectify； （2）repaytheloanaheadoftimeandrefusetopayanycompensationforprepayment. article14deduction theborrowershallpayinfullforthepaymentwithoutanycounteractionoranycondition. article15assignmentofthedebtandcredit 1.theborrowershallnotassignitsrightandliab
38、ilityunderthiscontracttootherthirdpartywithoutanywrittenapprovalofthelender； 2.intheeventtheborrowerassignitsrightandliabilityunderthiscontracttootherthirdpartyunderthewrittenconsentofthelender，thethirdpartyshallabidethiscontractwithoutanycondition. article16performanceofobligationandwaiverofrights
39、1.theborrowerisindependentcontractorunderthiscontract，itwillnotimpactbyanyotherrelationsbetweentheborrowerwithotherpartyexcepttheotherprovisionssetforthinthiscontract. 2.thelendergiveanyextension，toleration，favortotheborrowerorpermittheborrowertodelayofperformanceanyobligationunderthiscontractshalln
40、otimpairanyrightsofthelenderinaccordancewiththiscontractandlaws，regulation，itshallbedeemedtohavewaiveditsrightsunderthiscontractandtheobligationshallbeperformedbytheborrowerunderthiscontract. article17amendment，supplementandinterpretationofthecontract 1.thiscontractcouldbeamendedandsupplementedupont
41、hewrittenagreementsconcludebytheparties.anyaamendmentandsupplementshallbeintegralpartyofthiscontract. 2.intheeventchangeoflaws，regulationsorlegalpracticewhichwillcauseanytermscontainedinthiscontractbecomeillegal，invalidorlossofpractice，theotherpartofthiscontractshallnotbeimpairedbyit.thebothpartiess
42、hallmakeeffortstochangetheillegal，invalidorlossofpracticepart. 3.forthemattersnotreferredinthiscontractshallbeconstruedinaccordancewiththeprovisionsofthepeoplesbankofchina. article18disputeresolution，governinglawandwaiverofexemption 1.theconclusion，interpretationanddisputeresolutionshallbesubjecttot
43、helawsofthepeoplesrepublicofchin.thedisputesarisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothparties.incasenosettlementcanbereached，thedisputesshallbesubmittedtothepeoplescourtofthelocationofthelenderforjudgment. 2.theborrowershallnotrejectanyobligationduringtheset
44、tlementofdisputes. 3.theexecutionandperformanceofthiscontractandtherelatedtransactioniscivilbehavior.theborrowershallnotappealtotakeactiontoexemptfromtheobligationunderthiscontract. （ifbothpartiesagreetoapplyarbitration，theabovetermshallbe：） 1.theconclusion，interpretationanddisputeresolutionshallbes
